Target Australia Terminates $2.8M Retail Software Contract Ahead of Completion

Target Australia has found itself embroiled in a legal dispute with retail software provider daVinci, after a three-year software licensing agreement between the two companies collapsed. Target is now seeking to recover all the money it paid to daVinci, amounting to nearly $2.8 million, alleging that the software did not meet expectations and was "not fit for purpose." In return, daVinci is demanding payment of US$531,707 (AU$790,995) for the third and final year of the licensing agreement, a fee that Target has refused to pay since June 2023.

The relationship between the two companies initially seemed strong. Target had been held up as a case study for daVinci’s inventory and merchandise planning software, with regular payments made for the first two years of the contract, including additional payments for specific work requested by Target. However, by the third year, things had soured. According to the court, Target abruptly decided that the services provided by daVinci were "entirely worthless" and took action to terminate the agreement. In June 2023, Target refused to pay the third-year license and hosting fees, and on September 1, 2023, the company officially served notice of termination.

Target’s counterclaim asserts that the software did not meet the standards or targets that daVinci had represented when the contract was signed, and that these representations were a key reason why Target entered into the agreement in the first place. Essentially, Target argues that it was misled by daVinci and that the product failed to deliver on its promises. As a result, Target believes it is entitled to a full refund of the money it spent on licenses, hosting, and professional services over the nearly three-year period of the contract.

This case is now headed to trial in August next year, unless the two parties can resolve the dispute before then. A central issue for the court to address will be why the business relationship, which appeared to work well for over two years, ultimately broke down. Judge Anderson of the County Court of Victoria noted that understanding the specific causes of this breakdown will be critical for determining the outcome of the case.

The court proceedings have already delivered a minor victory for Target, with the judge ordering daVinci to post a $25,000 security deposit. This deposit is intended to cover some of Target’s legal costs in the event that the case drags on or is resolved in Target’s favor.

Despite the ongoing legal battle, neither Target nor daVinci has provided any public comment on the situation. Attempts to reach Target through its publicly listed media address, as well as phone calls to its corporate affairs spokesperson, were unsuccessful. Similarly, daVinci has remained silent, with no response from the company’s representatives.

The upcoming trial will be a significant moment for both companies, as it will delve into the finer details of the contractual arrangements and technical performance of the software. If Target can successfully prove that daVinci’s software was not fit for purpose and did not meet the standards represented, the retailer may be able to recover the nearly $2.8 million it is seeking. On the other hand, daVinci will be keen to recover the outstanding license and hosting fees it claims Target owes.

Regardless of the outcome, this case highlights the complexities and risks associated with large-scale software implementations, particularly when expectations are not met and substantial sums of money are at stake. The case will also likely influence how future software contracts are negotiated, especially in terms of performance guarantees and the alignment of expectations between software vendors and their clients.
